Sale Lease Back/Plus provides a structure unavailable elsewhere in the market. It has clear and distinct economic and operational advantages, which permits the Seller/Lessee to:
• Achieve off-balance sheet treatment for the transaction;
• Realize a substantially lower cost of funds than a traditional sale-leaseback transaction;
• Regain ownership of improvements at expiration;
• Realize 100% of asset value in a sale;
• Recognize gain or loss on the sale for federal income tax purposes;
• Realize complete control of property under long-term leaseback; and
• Choose whether or not extend the lease at the end of the base term.
Fundamentally Sale Lease Back/Plus provides the Seller/Lessee a financing strategy that includes all of the advantages of a traditional credit tenant sale-leaseback--- a true sale, complete operational control of the asset and "operating lease" status for off-balance sheet financial treatment. In addition, the Seller/Lessee has the ability to regain ownership of the improvements at end of term. Thus the seller can capture virtually all of the equity achieved and any appreciation of the asset . . . while keeping absolute control of the asset.
Legal and tax opinions by Greenberg Traurig, LLP definitively address the specific tax and legal treatment. The structure conforms to the latest accounting literature, specifically FASB Interpretation No. 46 , Consolidation of Variable Interest Entities (formerly termed SPEs), an interpretation of ARB No. 51. Greenberg Traurig will provide transaction specific opinions for transactions utilizing Sale Lease Back/Plus.
